ACCEPTANCE & SCOPE

Welcome to the Technikole Consulting website (the “Site”), including “Techniverse”, “Meta Mindshift,“Hack-IT” and associated services. By accessing or using the Site, sister sites or acknowledged publications, you agree to be bound by these Terms.

DESCRIPTION OF SERVICES

Technikole Consulting operates as a strategic partner in digital transformation, focused on Service-Based Small Businesses, Nonprofits, and Small, Private Healthcare organizations. Our services are delivered through our proprietary 3D Continuum Framework ‘Ideation. Implementation. Automation’™️ and , designed to grant operational ownership and efficiency. While specific deliverables are defined in customer engagement agreements or Statements of Work (SOW), our core services include:

Strategic Consulting: Digital maturity assessments, technology roadmapping, solution architecture, & hosting, “Future-Ready” strategic planning, program design and deployment, business model disruption focused on stability, innovation and Technical Independence.
Technical Implementation: System Integration, AI integration and tooling, AI Agent Development, Utility and Solution development, application development, platform configuration and the deployment of blockchain or Local AI environments, or immersive Virtual Spaces (Metaverse/XR/AR/MR/VR).
Automation (Operational Efficiency): Workflow Automation for core business systems, document automation, contract lifecycle management, and business process automation.
Professional Development: Corporate training, workshops (e.g., “Beyond Bots”), speaking engagements, and technical upskilling for teams (innovation labs and professional development)
Specific Services: Healthcare Digital Strategy: Strategic advisory for independent healthcare firms focused on operational workflow and technical architecture. Note: This service is limited to “Strategic Consulting” and does not include hands-on implementation within live environments containing active patient data. We do not provide HIPAA compliance certification or managed security services for medical records or automation of (Protected Healthcare Information) PHI.

OTHER SERVICES: The list above was not intended to be comprehensive however to show a wide variety of services that we do offer and the services that are covered by this Privacy Policy and terms of service, as such if you find a service that you would like that we do not offer please reach out and let us know!

Note: Services described may be contingent upon the continued availability of third-party platforms, subscriptions and continued compliance with our service ethos.

EVOLUTION OF SERVICES:

We operate in a rapidly evolving technical landscape. As such, Technikole Consulting reserves the right to modify, expand, or discontinue specific service offerings, tools, or methodologies from time to time to maintain alignment with industry best practices and our standards for Technical Independence.

SUPPORT DESK & AI AGENTS AI Triage:

To ensure efficiency, the Technikole Support Desk utilizes Artificial Intelligence to analyze incoming tickets, suggest solutions, and route requests. While we strive for accuracy, AI Agents may occasionally misinterpret nuance.

Escalation: Critical issues should be immediately escalated to our support team with a description of the issue, screenshots, communications etc.. You accept that “Support Desk” interactions may not be immediately serviced by a human agent however legitimately escalated communications will have human support to resolution.

GOOGLE AI IN USE:

Terms of Service: Working with us means that you are adopting our terms of service as well as Googles Terms of Service for Google Workspace, Google Cloud and Google AI (GenAI) if your service or solution utilizes our systems, configurations or resources.
Google Workspace: We use Google Workspace tools, services and applications; all materials created and shared will be bound by the Google Workspace Terms of Service, unless explicitly contracted otherwise. https://workspace.google.com/terms/service-terms/
Account Suspension: You acknowledge that Technikole Consulting does not control Google’s enforcement policies. We are not liable for business interruption resulting from Google suspending or terminating your account due to your violation of their Terms of Service. Further, termination from Google Services may not release you from contractual obligations of executed agreements.

EDUCATIONAL CONTENT & “EXPIRATION OF INFORMATION”

Any educational, training, or informational content provided through Technikole entities is for professional development and general guidance or improvement:

No Guarantee of Currency: Due to the fast-paced nature of technological advancements (specifically in AI, Crypto, and SaaS platforms), information and tutorials may become outdated quickly.
User Responsibility: Technikole Consulting shall not be liable for actions taken based on potentially outdated educational content, nor shall outdated content constitute grounds for a refund. You are responsible for verifying the currency of any technical instruction.

PARTNERSHIPS, AFFILIATES & STRATEGIC ACCESS

PARTNER NETWORK

We may from time to time select strategic partners for the delivery and execution of our services. These parties enter into separate agreements which outline the criteria and clauses for the maintaining the partnership that constitute nonpublic information. In short these agreements ensure that:

Parties seek innovative, mutually beneficial business focused relationships
Parties remain independent entities and that agreements do not create an employer-employee relationship, joint venture, or agency.
Neither Party has the authority to bind the other to third-party agreements without express written consent.
Both Parties agree to treat all non-public information exchanged as Confidential.

Partners are further responsible for ensuring that the requirements of the Strategic Partnership Agreement are actively cared for in order to maintain good standing.

AFFILIATE NETWORK

We offer our clientele a wide variety of affiliate benefits via our affiliate network that we have curated in an effort to extend adoption and digital transformation while reducing vendor lock-in. At a minimum clients may receive access, a discounted rate or other favor in exchange for their patronage to the product or service as a result of their business with us.

AFFILATE DISCLOSURE : In the spirit of transparency, we may receive compensation or commissions when you utilize tools from our Vetted Ecosystem. However, our recommendations are driven by technical fit, not financial incentive.

Strategic Resource Access (Grants & Credits): As a value-added benefit of our client relationship, Technikole Consulting may provide access to curated lists of third-party grants, startup credits and vendor discounts.
No Guarantee of Funding: We provide awareness and access to these opportunities. We do not guarantee eligibility, award, or funding. All grants and credits are subject to the approval of the issuing third party (e.g., Google, AWS, Nonprofits).
**Distribution:**Access to these opportunities is provided at the sole discretion of Technikole Consulting and may vary based on client tier or engagement type.

PARTNERSHIPS & DATA RESPONSIBILITY

Mutual Transparency: In any engagement, transparency is a shared responsibility.
Clientele: You are responsible for ensuring that any data (including client lists or proprietary info) you share with us complies with relevant privacy laws. You agree that you have the legal right to share such data
Strategic Partners and Vendors: Are responsible for ensuring that any data (including client lists or proprietary info) shared with us complies with relevant privacy laws. They affirm that you have the legal right to share such data by sending it to us.
IThird-Party Account Delegation: If you grant Technikole Consulting administrative access to your third-party accounts (including Google Workspace, Google Cloud Platform, or Google Business Profile, APIs, other vendor/platforms), you acknowledge that we act as your agent.
You remain the owner of these accounts.
Changes to Service: We are not liable for changes made to these platforms by the provider (e.g., Google) or for data loss resulting from platform outages, policy changes, deprecated or discontinue APIs, solutions or subscriptions.
Liability: Technikole Consulting accepts no liability for processing data that was collected illegally by the Client or Partner. Data that compromises the integrity of our systems is grounds for permissible discontinuation of service or partnership.
Open Source Software & Local Model Provenance: As advocates for Technical Independence, we frequently utilize Open Source Software (OSS) and Local AI solutions (e.g., Ollama). We accept that these solutions may introduce the following factors;
“As-Is” Nature: Solutions delivered may include OSS components provided under their respective licenses (e.g., MIT, Apache 2.0). We do not own the underlying code of third-party OSS projects rather the distributed version of it.
Local AI & Model Provenance: You acknowledge that Local AI models used in our solutions fall into two categories:
Provider Official: Fundamental weights released directly by research labs (e.g., Google, Mistral, IBM/WATSON).
Community Sourced: Quantized, fine-tuned, or modified versions hosted on public registries (such as the Ollama library or Hugging Face).
No Warranty on Community Models: While we vet models for functionality, Technikole Consulting does not guarantee the cognitive integrity, safety alignment, or long-term maintenance of Community Sourced models. We warrant the configuration of the runtime environment (the engine), but provide the model weights (the fuel) on an “as-is” basis.
No Warranty on Community Code: We provide warranties on our configuration and implementation logic, but disclaim all warranties regarding the intrinsic function of third-party open-source models, libraries and APIs.

NON-SOLICITATION:

Partners and Vendors agree that during the term of our engagement and for a period of twelve (12) months thereafter, you will not directly or indirectly solicit, hire, or engage any employee, contractor, or strategic partner introduced to you by Technikole Consulting without our express written consent. Violation of this provision may result in a placement fee equal to 50% of the individual’s estimated annual compensation.

FINANCIAL TERMS & PAYMENTS

For-Profit Status: Technikole Consulting is a commercial entity. We do not accept barter or in-kind exchanges (e.g., domains) in return for service unless explicitly defined in a Strategic Partnership Agreement.

PAYMENTS:

Vendor: All payments are processed via Stripe. We accept Credit/Debit, PayPal, Venmo, Cash App, Google Pay, and Apple Pay.
Refunds: Services are generally contracted with specific terms and conditions. Refund requests are addressed at the sole discretion of Technikole Consulting and must be submitted within 48 hours and are not guaranteed.
Requests for refund must be made within 48 hours of requested services to: support@technikole.com, with the subject line: “Refund Request”, to ensure proper handing
Our commitment to you: We commit to providing a response to refund requests within 48 hours of receipt.
Non-Refundable Services: Prepaid services (including Assessments, Retainers, and Educational Services and Appearance fees) are non-refundable. Payment secures availability within the established or contracted timeline.
Deposits: Deposits for service secure calendar availability for selected services and solutions. Deposits are generally non-refundable but may be reassigned to other services on a case by case basis at the discretion of Technikole Consulting per the services agreement.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Technikole Consulting and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any third-party rights.

REGULATORY COMPLIANCE & LAW ENFORCEMENT

Lawful Use: You may use the Site, our solutions, and technical applications including Blockchain/AI/Metaverse for lawful purposes only.

Cooperation: Technikole Consulting reserves the right to cooperate with law enforcement or regulatory bodies as required by law. We are not a shield for illicit activity, rug-pulls, or money laundering via Web3 technologies. Additionally, we reserve the right to seek legal counsel prior to acting or responding to such requests as fundamental violations of our ethical and operating ethos.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Limitation of Liability: Technikole Consulting provides this Site “as is.” You acknowledge that AI and Blockchain technologies are evolving. We are not liable for damages arising from unforeseen technological risks, regulatory changes, or third-party platform failures.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.

MUTUAL RIGHT TO DISCONTINUE

Voluntary Association: We believe business relationships should be consensual and mutually beneficial. You retain the right to discontinue your use of our Site and general Services at any time without penalty, just as we reserve the right to refuse service or terminate engagement with any client who violates our ethical standards or Terms.
Contract Precedence: Please note that if you have an active Statement of Work (SOW), Retainer, or Partnership Agreement with us, the specific Termination and Cancellation clauses within that signed contract will take precedence over this general provision.
